1. Introduction and General Provisions

The financial products, investment management services, and core wallet infrastructure provided through www.apexaora.com (the “Portal”) are operated and managed exclusively by ApexAora Innovations, a company registered in the United Arab Emirates (the “Operator”, “we”, “us”, or “our”).
The underlying artificial intelligence solutions, data analytics, and technological infrastructure powering the Portal are provided by our affiliated technology partner, Apex Aora Innovations Limited, a private limited company registered in England and Wales (Company Number 17282808) (the “Technology Provider”).
For the avoidance of doubt, your contractual relationship regarding all financial services, deposits, and investments is solely with the Operator in the United Arab Emirates. The Technology Provider does not hold client funds, provide financial advice, or conduct regulated financial activities. By accessing, registering on, or utilizing the Portal, you explicitly agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with any provision of these Terms, you must immediately cease all use of the Portal and services.
2. Eligibility and Account Registration
To access the private asset management features of ApexAora, you must complete our registration process. By registering, you warrant and represent that:
- You are of legal age (at least 18 years old) and possess the full legal capacity to form a binding contract under the laws of your jurisdiction.
- You are not subject to any international sanctions or restricted by any applicable regulatory authority, including but not limited to OFAC, the United Nations, the European Union, or the United Kingdom.
- You are acting on your own behalf, or you hold explicit legal authorisation to act on behalf of the institutional entity you represent.
- You have reviewed and accepted our Privacy Policy and Risk Disclosure in their entirety.
ApexAora operates as a private fintech portal. All account registrations are subject to review and approval by our system administrators to ensure strict regulatory compliance and platform security. Submission of a registration form does not guarantee access to our services. The Company reserves the right to accept or reject any application at its sole discretion.
3. Scope of Services
ApexAora provides next-generation secure wallet infrastructure, utilising a double-entry ledger system to manage private client assets with mathematical validation. Our services include, but are not limited to, ledger bookkeeping, automated deposit reconciliation via batch spreadsheet imports, withdrawal pipelines, and a referral programme.
The information provided on the Portal is for administrative and informational purposes only and does not constitute financial, investment, legal, or tax advice. Nothing on the Portal should be construed as a personal recommendation, invitation, or inducement to invest. We do not guarantee specific financial outcomes or absolute capital preservation.
4. Investment Capital, Lock-In Periods, and Withdrawals
Our platform operates under specific financial guidelines designed to protect the integrity of the ledger and the stability of managed assets:

5. Profitability and Returns
The Company engages in dynamic market operations. Returns are not fixed and remain subject to market fluctuations, trading performance, and overall company revenue. Generated weekly profits are automatically compounded into the active portfolio. However, investors may elect to transfer accrued profits to their Investor Wallet for monthly payout. No statement on this Portal should be interpreted as a guarantee of future performance or returns.
6. System Integrity and Security
ApexAora is committed to maintaining absolute architectural truth. We employ a double-entry bookkeeping system enforced at the database level, ensuring that every debit has a corresponding credit and that no balance is adjusted in isolation. You agree not to interfere with, disrupt, or attempt to compromise the security, integrity, or performance of the Portal. You are responsible for maintaining the confidentiality of your account credentials, including your password and OTP codes. You must notify us immediately of any suspected unauthorised access to your account.
7. Limitation of Liability
To the maximum extent permitted by applicable law, ApexAora, its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:
- Your use of, or inability to use, the Portal.
- Any delays, technical failures, or interruptions in service.
- Market volatility, adverse economic conditions, or investment losses.
- Force Majeure events, including but not limited to market crashes, regulatory interventions, or systemic technological failures.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
8. Intellectual Property Rights
All content, design elements, graphics, logos, software infrastructure, and materials displayed on the Portal are the exclusive intellectual property of the Operator, the Technology Provider, or their respective licensors, and are protected under applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Portal without express prior written consent.
9. Data Protection and Privacy
The Operator processes personal data in accordance with applicable UAE data protection regulations and internationally recognised privacy standards. Any personal information submitted through the Portal will be used solely for legitimate business, compliance, operational, and regulatory purposes, as described in our Privacy Policy.
10. Modifications to Terms
We reserve the right to amend, update, or modify these Terms at our sole discretion. Any material changes will be communicated to active investors via email or a notification within the Portal at least seven (7) days before the revised Terms take effect. Continued use of the Portal following the effective date of any amendment constitutes your acceptance of the modified Terms.
11. Governing Law and Dispute Resolution
These Terms and your use of the Portal shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Dubai, United Arab Emirates.
12. No Public Offering
The information provided on this Portal is intended solely for informational purposes and does not constitute a public offering of securities, financial products, or investment services in any jurisdiction. Access to ApexAora products or services may be restricted based on jurisdiction, investor classification, or internal compliance requirements.
